Subject to compliance with all applicable terms and obligations, Ventris Learning LLC (“Ventris” or “Ventris Learning”) grants limited permission to its customers to access online or other components of Ventris Learning products or materials (collectively, the “Products”) to: 1) support professional use of purchased Products; or 2) to participate in assessment re-norming projects as directed or allowed by Ventris. Any use of Products must be in strict accordance with any applicable Product documentation as well as Ventris Learning’s then-current terms, conditions, policies, or practices, as the same may be established or updated by Ventris Learning from time to time, by posting on the Ventris website or by otherwise communicating to the public or to the applicable customer. Unauthorized use or distribution of Products is strictly prohibited. Online components of assessment Products are not intended for use with teleconferencing software and can only be used this way with prior written permission from Ventris Learning.
Customers may not record their use of, make copies of, or modify any Products. Customers may not use the Products, in whole or in part, to create any new materials or derivative works; this expressly includes, without limitation, use of any part of the Products in artificial intelligence platforms or models. Customers agree to use Products in compliance with applicable federal, state and local laws. Ventris Learning reserves the right to revoke or amend the terms of this Limited Permission at any time, in the sole and unfettered discretion of Ventris Learning and with or without advance notice.
All ownership of the Products and any materials on or made available through the Ventris website remains solely vested in Ventris Learning, or, as applicable, its licensors. Except for the limited and revocable permission as set forth herein, nothing in this Limited Permission is intended to, or shall, limit, alter, convey, transfer or otherwise affect the intellectual property rights of Ventris Learning or, as applicable, its licensors. All copyrights and other intellectual property rights are expressly reserved.
